Terms of Service

These Terms of Service ("Terms") govern your use of the Capys Business Manager platform ("the Service"), operated by Capys Corporation ("we", "us", "our"), a company registered in the Republic of South Africa. By accessing or using the Service, you agree to be bound by these Terms, our Privacy Policy, and all applicable South African legislation, including the Protection of Personal Information Act 4 of 2013 ("POPIA"), the Consumer Protection Act 68 of 2008 ("CPA"), and the Electronic Communications and Transactions Act 25 of 2002 ("ECTA").

1. Acceptance of Terms

By creating an account or using any part of the Service, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and accept these Terms in full. If you are using the Service on behalf of a business or legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must cease using the Service immediately.

2. Description of Service

Capys Business Manager provides a cloud-based business management platform designed for service professionals. The platform includes:

  • Online booking and appointment scheduling
  • Customer relationship management (CRM)
  • Professional invoicing and payment tracking
  • Revenue analytics and business insights
  • Service catalogue management

We may add, modify, or discontinue features at our discretion. Significant changes will be communicated in advance.

3. User Accounts & Responsibilities

When you create an account, you agree to:

  • Provide accurate, complete, and current registration information.
  • Maintain the security and confidentiality of your login credentials.
  • Immediately notify us of any unauthorised access to your account.
  • Accept full responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that contain false information or violate these Terms.

4. Your Data & Intellectual Property

Your data: You retain full ownership of all data, content, and information you enter into the Service ("User Data"). We claim no intellectual property rights over your User Data. You grant us a limited licence to host, store, and process your User Data solely to provide the Service.

Our platform: All rights, title, and interest in the Service — including its design, source code, user interface, branding, logos, and documentation — remain the exclusive property of Capys Corporation. You may not copy, modify, distribute, reverse-engineer, or create derivative works from any part of the Service.

5. Data Protection & POPIA Compliance

We process your personal information in accordance with POPIA and our Privacy Policy. By using the Service, you consent to the collection and processing of your personal information as described therein.

Where you enter personal information of your customers into the platform, you act as the responsible party for that data under POPIA. You warrant that you have obtained the necessary consent from your customers to store and process their information using our Service.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law.
  • Upload or transmit malicious code, viruses, or harmful content.
  • Attempt to gain unauthorised access to other users' data or our systems.
  • Use the Service to send unsolicited communications or spam.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Scrape, harvest, or extract data from the Service using automated means.
  • Impersonate any person or entity, or misrepresent your affiliation.

Violation of this policy may result in immediate suspension or termination of your account without notice.

7. Confidentiality

We treat all User Data as confidential information. We will not disclose your data to any third party except:

  • With your explicit written consent.
  • To infrastructure providers strictly for the purpose of operating the Service.
  • When required by law, regulation, or valid court order issued by a South African court.

8. Service Availability & Support

We strive to maintain high availability but do not guarantee uninterrupted or error-free access to the Service. We may perform scheduled maintenance that temporarily affects availability. Where possible, we will provide advance notice of planned downtime.

Support is available via email at support@capyscorporation.co.za. We aim to respond to all enquiries within 2 business days.

9. Limitation of Liability

To the maximum extent permitted by South African law:

  • The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
  • We do not warrant that the Service will meet your specific requirements or expectations.
  • Capys Corporation shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Service.
  • Our total aggregate liability shall not exceed the fees paid by you (if any) in the 12 months preceding the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under the Consumer Protection Act 68 of 2008 or any other applicable South African legislation.

10. Termination

You may terminate your account at any time by contacting us at support@capyscorporation.co.za. Upon termination:

  • Your access to the Service will be revoked immediately.
  • Your data will be permanently deleted within 30 days, in accordance with our Privacy Policy.
  • You may request a data export before termination.

We reserve the right to suspend or terminate your account for violation of these Terms, with or without notice.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or through a prominent notice on the platform at least 14 days before they take effect. Continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.

12. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Republic of South Africa.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
